Corporate governance

Corporate Solicitors - Kent, Sussex & Surrey

Strong corporate governance is fundamental to a productive and well-run company.

Ensuring your business complies with the relevant regulatory requirements is crucial in building trust with stakeholders and the wider community.

We are expertly placed to understand your obligations and ensure your business is compliant in its corporate governance.

Directors’ duties

Directors are responsible for the day-to-day management of your business; as well as their supervisory role, legislation, such as the Companies Act 2006, imposes responsibilities on directors with which they must comply. Duties range from a responsibility to promote the success of the company to the duty to avoid a conflict of interest. We provide clear and concise advice to directors and the board.

Regulatory compliance

It is essential that your company complies with any applicable regulatory frameworks. The Companies Act 2006 applies to all UK companies, including private limited companies, public limited companies and limited liability partnerships. It is likely that other regulatory frameworks will apply to your business, some of which will relate to the sector your business operates in. We will work collaboratively with your business to help implement good practice in respect of its corporate governance.

Shareholder relations

Maintaining positive relations between your shareholders is paramount for any business. We advise on, and offer practical solutions for, regulating shareholder relations or managing a conflict between shareholders, if one has arisen.

Corporate policies and procedures

Internal policies are useful in underpinning the standards and procedures to be adopted and maintained throughout your business These can range from conflict-of-interests policies to modern slavery policies. We draft, review and implement policies and procedures, tailored to each business we work with.
