Mergers and acquisitions

We understand that as a business owner, mergers and acquisitions (M&A) is one of the most important decisions you can make.

Whether you are thinking about making an acquisition, merging or selling your company, our experienced and exceptional team will work with you to achieve your goal.

We do not adopt a ‘one-size fits all’ approach with our clients, understanding that businesses have different resources and ambitions. We will tailor our approach based on your circumstances. With this said, there are certain stages to an M&A which are typical across a range of transactions:

  1. Strategy and planning Our team is expertly placed to help you structure your deal according to the circumstances, be that through a share purchase, asset purchase or merger, whilst working with you strategically.
  2. Due diligence The due diligence process is a high-level analysis of the target company. If we are assisting you in the sale of your company, we guide you through the process, helping you to understand and comply with your obligations. When advising in the purchase of a company, we provide a critical analysis and review of the documents disclosed by the seller, identifying risks or liabilities. During the due diligence stage, you should be assisted by other professionals, such as tax specialists or accountants.  
  3. Regulatory approvals In certain circumstances, you will be required to get approval from a regulator. We advise and help you with this, if necessary.
  4. Negotiation of the agreement and ancillaries The purpose of this stage is to finalise the documents that relate to your transaction. When negotiating the documentation, we seek to ensure it affords you adequate protection and reflects the deal structure and your objectives. This can include deferred and contingent consideration, earnout mechanisms and security.
  5. Completion. This is where the deal concludes, and the transaction is executed. We will ensure ownership of control is transferred to the acquirer and that the purchase price is paid.
  6. Post-completion We assist you with post-completion requirements, such as Companies House filings.
