Management buyouts and buy-ins

Corporate Solicitors - Kent, Sussex & Surrey

Management buyouts (MBOs) and buy-ins (MBIs) are an alternative to the more traditional mergers and acquisitions.

MBOs are transactions in which the existing management team acquire the company, either completely or partially; in certain cases, the buyout is financed with the help of external funding. This type of transaction gives management the opportunity to take control of a company, better enabling them to shape and align its interests. We will work collaboratively with you to create a deal structure that suits your goals and then guide you through the process, giving you time to map out the future success of the company.

MBIs are a great way for external managers to buy into a company, taking over the day-to-day running of it. MBIs are particularly useful for companies looking for new leadership to drive forward growth and offer expertise.

During the due diligence process, we offer support and help you identify areas of liability or risk for you as a buyer, ensuring any documents promote and protect your interests effectively. If you are selling your stake in a company under an MBI, we have a wealth of experience in helping our clients understand their obligations during the disclosure process to ensure the relevant information has been passed on to your buyer.

Our knowledge of MBOs and MBIs will help you navigate through these types of transactions, while our team understands the intricacies of management-led purchases,  offering support and guidance throughout.
